Globex Data Ltd. Announces Oversubscribed Private Placement

TORONTO, ON / ACCESSWIRE / January 4, 2021 / GlobeX Data Ltd. (OTCQB:SWISF)(CSE:SWIS) ("GlobeX" or the "Company"), the leader in Swiss hosted secure data management and secure communications, is pleased to announce that it has received interest for an oversubscribed private placement offering for a total of 9,000,000 Units (as defined below) at a price of CA$0.12 per Unit for total gross proceeds of CA$1,080,000.

Each Unit consists of one common share (a "Share") and one share purchase warrant (a "Warrant"). Each Warrant will entitle the holder to purchase an additional share at a price of $0.15 per share for a two-year term (the "Warrant Term").

The private placement was oversubscribed, since there was a limit of 9,000,000 units available under a previous filing with the CSE for a price reservation expiring January 16 2021. The Company is now processing all the administrative work in order to close the financing and file all regulatory papers and notices by January 15 2021. A separate press release will be issued with full details of the financing gross and net proceeds and any fees associated with this financing.

The Company CEO and CFO are participating in the placement as well with subscriptions of 1.65 million units, or almost 19% of the total offering.

The Company plans to use the proceeds of this financing primarily or the marketing of its Sekur security solution offering secure email, instant messaging and file sharing, as well as any other marketing related activity for sales in North America, Latin America and South Asia.

GlobeX Data to Add Encrypted Voice and Video Conferencing to its Swiss Hosted Sekur.com Encrypted Messaging and Email Secure Communications Solution

GlobeX is preparing to release encrypted voice, video and conferencing features to its existing Sekur solution by the end of Q1 2021. The features, which will be fully web based only for security reasons, will be hosted in Switzerland as are all of GlobeX's cybersecurity and secure communications solutions. The new upgraded package will be sold through GlobeX's approved distributors and through internal marketing efforts such as direct email marketing and through its Sekur website. GlobeX Data Ltd. Announces Closing of Non-Brokered Private Placement

TORONTO, ON / ACCESSWIRE / January 16, 2021 /  GlobeX Data Ltd. (OTCQB:SWISF) (CSE:SWIS) (“GlobeX” or the “Company”), the leader in Swiss hosted secure data management and secure communications, is pleased to announce that as per its press release of January 4th 2021, stating interest for an oversubscribed private placement, it is pleased to announce the closing of a private placement offering for a total of 9,000,000 Units (as defined below) at a price of CA$0.12 per Unit for total gross proceeds of CA$1,080,000. 

Each Unit consists of one common share (a “Share”) and one share purchase warrant (a “Warrant”).  Each Warrant will entitle the holder to purchase an additional share at a price of $0.15 per share for a two-year term (the “Warrant Term”).  

The Company CEO and CFO have participated in the private placement as well with subscriptions of 2,017,355 units, or almost 23% of the total offering. 

Finance fees equivalent to CAD 50,040 were paid in the form of Units for a total of 417,000 units and advisory were paid in cash amount of CAD 76,500 and in the form of compensation warrants for a total of 640,000 warrants and CAD 4,000 were paid in the form of advisory fee in cash with no compensation warrant. Each Warrant will entitle the holder thereof to purchase one common share of the Company at a price of $0.15 for a period of 24 months from the date of issuance. Net proceeds to the Company were CAD 999,500. 

The Company plans to use the proceeds of this financing primarily for operational sales and the marketing of its Sekur security solution offering secure email, instant messaging and file sharing, as well as any other marketing related activity for sales in Canada, the USA, Latin America and South Asia.

GlobeX Data Launches Sekur.com in Spanish in Preparation of Latin America and Spain Launch in Q1 2021

(OTCQB:SWISF) (CSE:SWIS) ("GlobeX" or the "Company"), the leader in Swiss hosted secure data management and secure communications, is pleased to report that it has completed the translation of its Sekur email and messaging security platform in Spanish, in preparation for its commercial launch in Latin America and Spain in Q1 2021.

GlobeX is planning to launch Sekur in Latin America and Spain through two of its partnerships simultaneously covering Mexico, Colombia, Panama and Spain. The first one being its Micronet distributor. Micronet is planning to launch first in Colombia and Panama and possibly in Spain during the same time period. Micronet, headquartered in Spain, manages a network of close to 3000 resellers in 11 countries through Central and Latin America, and Spain.

GlobeX will also launch SekurMessenger, its Swiss hosted encrypted instant messaging, secure voice recording transfer and secure file transfer application all in one, with América Móvi's Telcel mobile operator in Mexico. The secure messaging service has been fully integrated with Telcel's billing and provisioning platform and the commercial launch is expected to start around the second half of January 2021. The launch will start in Mexico and expand to other countries where America Movil operates through its Claro brand, such as Colombia and other Latin American countries as the business grows.

Globex Data Completes Technical Integration Of Sekurmessenger With America Movil, Largest Telecom Operator In Mexico, 7Th Largest Worldwide

(OTCQB:SWISF)(CSE:SWIS) (“GlobeX” or the “Company”), the leader in Swiss hosted secure data management and secure communications, is pleased to report that, following its news release on October 13th 2020 that its Latin America partner, América Móvil S.A.B. de C.V. (NYSE:AMX), has decided to integrate Sekur's encrypted messaging and file transfer application, SekurMessenger with Telcel, América Móvil’s Mexico mobile division; GlobeX can now confirm that technical integration has been completed, and successfully tested.  

The next step for GlobeX is to complete on-boarding integration and perform minor graphical adjustments in order to complete full integration of SekurMessenger with Telcel for sales to start in Mexico. GlobeX estimates that America Movil’s Telcel will start sales as planned by Q1 2021. 

SekurMessenger will first be sold by América Móvil’s Telcel mobile operator in Mexico and will retail in Mexico for 99 MXN/user/month. Once sales in Mexico are underway, there are plans to increase coverage to other countries where América Móvil operates through its Claro brand, such as Colombia and other Latin American countries. GlobeX Data and América Móvil are looking at offering a secure and private alternative to other non-secure messaging applications. The market is geared primarily for business users and privacy conscious consumers. Telcel is the largest mobile operator in Mexico, commanding a market share in excess of 70% with over 75 million mobile subscribers and over 5 million of them being business users. América Móvil is the 7th largest telecom operator in the world with over 277 million mobile subscribers in over 20 countries throughout Latin America and Europe. 

One of the many Privacy and security features of SekurMessenger is that the user does not register with their phone number, eliminating a huge loophole in security and privacy. Just recently, according to an article written by Lindsey O’Donnell and posted on the website threatpost.com on June 5 2020, it was disclosed that WhatsApp phone numbers and users were searchable on Google, creating a massive security and privacy breach. Earlier in the year, an article was written about a similar flaw affecting all businesses, NGOs, UN and non-profit organizations, where WhatsApp Group members were also compromised and searchable in a reverse engineering trick done on Google.  

Recent data breaches in messaging applications and in particular in the WhatsApp application have created a certain urgency for businesses and data privacy advocates to protect their communications form cyber-attacks and identity theft via mobile and desktop devices. 

SekurMessenger eliminates many of the privacy and security risks by not only not requiring a phone number, which would divulge a user’s phone device ID, but also by not social engineering a user’s phone or computer contact list and infecting the contacts by default as well. SekurMessenger issues each user a username and a SM number. The SM number is the contact ID a user would disclose in order for other SM users to be added, since SekurMessenger does not social engineer a user’s address book. The service comes with a self-destruct timer and other features as well, such as GlobeX’s proprietary VirtualVaults and HeliX technologies with all data stored in Swiss hosted encrypted servers.
