GlobeX Data Ltd. Announces Non-Brokered Private Placement

TORONTO, ON / ACCESSWIRE / October 27, 2020 / GlobeX Data Ltd. (OTCQB:SWISF)(CSE:SWIS) ("GlobeX" or the "Company"), the leader in Swiss hosted secure data management and secure communications, is pleased to announce that the Board of Directors of GlobeX Data has approved the issuance of up to 3,333,333 Units (as defined below) at a price of $0.12 per Unit for total proceeds of CA$ 400,000 in connection to a non-brokered private placement. Each Unit consists of one common share (a "Share") and one share purchase warrant (a "Warrant"). Each Warrant will entitle the holder to purchase an additional Share at a price of $0.15 per share for a two-year term (the "Warrant Term").

If, however, at any time following the expiry of the statutory four month hold period, the closing price of the common shares on the Canadian Securities Exchange ("CSE") is greater than CA$0.25 for 10 or more consecutive trading days, the Company may notify the holder, by way of news release, that the warrants will expire on the 20th business day following the date of such notice, unless exercised by the holder before such date.

The private placement is set to close on or before November 15th 2020.

GlobeX Data Signs Distribution Agreements in Arab Gulf Countries

Terms of the distribution are based on discount to retail prices and vary between 20% to 30% discount to retail prices. GlobeX Data Increases Sales of SekurSafe Licenses to South Asia

The licenses were sold by GlobeX's distributor in Pakistan, Citadel Technology Solution Pvt. Ltd. ("CTS").

CTS has informed GlobeX that, in addition to the initial 200 licenses sold, it has contracted another 820 licenses of SekurSafe, worth USD 72,200 (Approx. CAD 95,000) and is working on more licenses to close by the end of December 2020. Additionally, CTS is in working on a deal for 1,800 SekurSafe licenses, worth USD 158,400 (Approx. 210,600) per year. Total sales expected from CTS by December 31 2020 are approximately USD 248,100 (CAD 330,000), representing 2,820 licenses of SekurSafe sold. CTS also expects to sell at least 3,000 additional SekurSafe licenses in 2021.

GlobeX Data Update on Latin America Sales

The Company has been presenting its SekurSafe business collaboration, security and email solution to more prospects of its partner Telcel in Mexico in the last two weeks, as Telcel has been on a campaign to educate businesses about the dangers of cyber-attacks. GlobeX Data will be presenting its security solution to over 300 enterprise clients at a special virtual event organized by Telcel. At the request of America Movil, GlobeX Data is also planning to integrate its secure communications solution bundle Sekur sometime this year for sales to start in 2021. Telcel has over 75 million subscribers in Mexico, and is the Mexican mobile operator division of America Movil, the third largest mobile operator in the world with close to 400 million subscribers worldwide.

Additionally, GlobeX will start training the resellers of Micronet, its master cyber security distributor in Central and Latin America and Spain. The Company is planning to start sales in the Republic of Panama and the Republic of Colombia starting October 2020. GlobeX Data expects to train approximately 15 new resellers in 2020 and possibly another 15 in 2021. The Company has been discussing with Micronet Colombia and Micronet Panama and expects to sell between 1000 to 5000 licenses of Sekur and SekurSafe by the end of 2021 with an increase of 50% by the end of 2022.

GlobeX Data on Track to Beat Sekur Sales Targets

After discussing with several of its distributors in Canada, USA, Latin America, the Bahamas, and South Asia; GlobeX has been able to compile an estimate of sales for Sekur for the remainder of this year. Although most markets are still recovering from the COVID-19 pandemic economic damages, sales are expected to attract a minimum of 1,000 paid users and reach a potential of 5,000 paid users in 2020, depending on economic factors, bringing recurring yearly gross sales of US$70,000 to US$350,000 for 2020, through distributors, with an estimated increase of 100% in volume of paid subscribers sold for 2021 as the Company expands into other markets, such as the Middle East, Africa and Australia. The licenses in South Asia are paid on a yearly basis in advance, as they are activated. GlobeX expected a lower paid subscriber base in 2020, due to the economic damage inflicted by the COVID-19 pandemic, however, cyber-attacks and BEC attacks on enterprises and government infrastructures has created an immediate need for Sekur.

GlobeX Data Sells First SekurSafe Licenses to Pakistan

The licenses were sold by GlobeX's distributor in Pakistan, Citadel Technology Solution Pvt. Ltd. ("CTS").

CTS has informed GlobeX that it has received full payment for 200 yearly licenses valued at USD 17,600 (Approx. CAD 23,400) per year, and will proceed with payment to GlobeX shortly in order to release license keys. Additionally, CTS is in the process of closing a deal for 1,800 SekurSafe licenses, worth USD 158,400 (Approx. 210,600) per year. The 1,800 licenses are expected to close by the end of January 2021. CTS also expects to sell at least 3,000 additional SekurSafe licenses in 2021.
